Please read these Terms of use carefully before you make use of any section of Keyarb platforms (website, subdomains, mobile apps, transmission outlets etc) as they apply to all users of Keyarb.

1. Definition of Terms

Keyarb, We, Us, Our, Platforms

These refer to the website domain Keyarb.com, its subdomains, mobile applications, software, transmission outlets, etc owned by or patented to the brand Keyarb, which is property of Headway Integrated Services Enterprises - a company duly registered by Nigeria's Corporate Affairs Commision under the laws of the Federal Republic of Nigeria, with business name registration number BN 2013871 and registered office located on 1, Samuel Akintola Boulevard, Garki 2, Abuja.

You, Subscriber, User

These refer to the individual making use of Keyarb platforms.

Subscription

The money paid by users of Keyarb to subscribe to our services is referred to as 'Subscription' or 'Subscrition Fee'. All subscriptions are non-refundable.

 

2. User Agreement

By using any section of Keyarb platforms and/or by registering the account, you agree:
A. That you are bound by these Terms of Use;
B. That you are at least 18 years old;
C. That you have read, understood and consented to these Terms of Use in its entirety.

Account Registration

To use Keyarb platforms, a User MUST create an account by going through the process of registration and activating his or her account.

To register for an account, you represent, warrant and agree that you are:

(i) at least 18 years old;

(ii) you will provide accurate registration information when registering the Account, including, without limitation, full name, the correct date of birth, country of residency, email address and telephone number and notify us of any changes of such details;

(iii) you are opening the account for your personal use and are acting as the principal and not on behalf of third party;

(iv) you are legally capable of entering into binding contracts, including these Terms of Use.

(v) Keyarb reserves the right to verify the User’s age at any time. In the event that you are found to have breached the elegible age, we may

(i) cancel any subscription you have made;

(ii) not make any prediction or Convertible Bonus available to you;

(iii) terminate the Account and

(iv) refer the matter to the police, notify the family and/or appropriate regulatory authority.

(vi) By registering an Account and/or using any Services or the Website, you hereby agree that we shall be entitled to conduct any and all such identification, credit and other verification checks from time to time that we may require or deem necessary and/or are required by applicable laws and regulations, and/or by the relevant regulatory authority. You agree to provide all such information as we require in connection with such verification checks.

Keyarb shall be entitled to suspend or restrict your Account and/or any of the Services or part thereof in any manner that we may deem to be appropriate, until such time as the relevant checks are completed to our satisfaction. Without limiting the foregoing, in the event we cannot successfully verify any of the elements of the Account registered details or if any information provided is deemed to be false or inaccurate, Keyarb reserves the right to void any of the bets, suspend or terminate your Account and forfeit he balance of your Account. Keyarb reserves the right to engage a third party to perform verification checks.

(vii) You agree that it is your responsibility to ensure that all details you provide us in satisfaction of our verification checks are kept up to date.

(viii) You cannot buy, sell or transfer the Account to other User(s). You shall not transfer or sell your Account and/or acquire or accept a transfer of another registered Account with Keyarb from another person.

(ix) Keyarb prohibits its employees from subscribing to any prediction in any arbitrage market (both the ones affiliated to Keyarb and those that are not affiliated to Keyarb).

(x) Every User may open only one Account. If we have reasonable grounds to believe that you have more than one Account (including any Accounts you opened with misspellings or different variations of your name or email) and we reasonably believe that multiple Accounts have been opened or used in breach of the Terms of Use, we may close your Accounts, or allow you to retain the first Account you opened with us.

(xi) The User can request termination of their Account whenever they wish by sending a request to the Customer Service.

(xii) If you have any query regarding your Account, it is your sole responsibility to notify Keyarb as soon as possible and provide all relevant information you know or have in relation to the query or as we may require.

Lawful Use

The Account and any Services accessed through Keyarb platforms may be used for lawful purposes only and in a lawful manner, in your capacity as the private individual. You agree expressly to comply with all applicable laws, statutes and regulations regarding Keyarb and any transaction performed by you via Keyarb platforms.

You must not misuse Keyarb platforms by knowingly introducing viruses, trojans, worms, logic bombs or other materials which is malicious or technologically harmful.

You must not attempt to gain unauthorised access to Keyarb platforms or Services. Distribution or commercial use of Information or Data obtain by you from Keyarb platforms is strictly prohibited. You shall not use any automated systems or software to copy and/or extract the whole or any part of the Information or Data for any purposes.

Strength of User's Internet Connection

You are responsible for making all arrangements necessary to have strong internet connection to facilitate your hitch-free access to Keyarb platforms. Keyarb takes no responsibility for any loss or damage caused by your use of weak internet connection to access its platforms.

Third Party Links and Resources

Links placed on Keyarb platforms to other websites and resources are provided by third parties and for your information only. Keyarb has no authority or control whatsoever over the contents of these sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of the same, any of their content or the use of any information they may acquire about you (including personal data). Any such link does not constitute an endorsement by Keyarb of the use of that link or patronage of the company or organisation behind that link or the contents of the website reached using that link.

Downloads

Downloads may involve placing files and installation software on the hard drive of your device. Any material downloaded or otherwise obtained through the use of Keyarb platforms is done at your own discretion and risk. Keyarb shall not accept any liability for any failures or issues that arise due to disconnection or unavailability of any of the Services and/or the platforms in general and/or under your Account for whichever reason, including, without limitations, due to any equipment or software under our control or not, or operated by us or not, our equipment, internet connection or internet or telecommunication services provider, including, without limitation, your inability to view the Website content, place bets or access any of the Services.

Time Zone

All indicated dates and times are based on WAT (West Africa Time).

Underage Individuals

The legal minimum age for users of Keyarb is generally 18. It is highly prohibited for anyone below the age of 18 to create an account and subscribe to arbitrage predictions on Keyarb. Therefore, our services are NOT designed to accommodate persons less than 18 years of age. In the light of this, minors may not register and subscribe to any arbitrage prediction on our platforms. To keep all users in check regarding this, we may require you to provide a copy of your ID to prove your identity, including your age, for various reasons. If we discover an underage or vulnerable person operates an account with Keyarb, the account will be closed and subscriptions terminated without refunds. Upon our routine security review aimed at validating user's identity, if we discover that any registered user of our platform is less than 18 years, such account shall be instantly deactivated.

Keyarb will do everything in its attempts to stop underage persons from operating an account on its platforms. Should you have evidence of an underage user of Keyarb, please contact our Help Center and we will take necessary steps.

Place of Jurisdiction

All business activities on Keyarb platforms (website, subdomains, mobile apps, transmission outlets etc) are governed by the laws of Nigeria. However, if ownership of our platform changes; this position may no longer be applicable.

These Terms of Use shall be governed by and interpreted in accordance with the laws of Nigeria and you irrevocably submit to the non- exclusive jurisdiction of the courts of Nigeria in relation to any dispute in relation to the Terms of Use.

Arbitrage subscription services offered on Keyarb platforms are primarily intended for consumers in Nigeria. Where consumers from other countries wish to subscribe to our services, they may do so at their discretion only if the laws of their countries permit.

The right to access and/or use Keyarb platforms and/or the Services (including any or all of the services on our platforms) may be illegal in certain countries. You are responsible for determining whether accessing and/or use of the platforms and/or the Services is compliant with the applicable laws in your jurisdiction. Each person should ensure that he/she would be acting legally in the country where he/she is located while using Keyarb platforms and/or the Services. Under no circumstances will we be liable for any breach of any state or country law that may occur as a result of your access and/or usage of the platforms.

Owner's Discretion

Without consulting its user base, Keyarb may at any time change the content of it platforms solely at its own discretion.

Individual Usage

Arb subscription serivices provided on Keyarb platforms are exclusively for your own personal and non-commercial use only. Our subscription services are designed to be consumed independently by individuals and for non-commercial purposes. It is prohibited to use our services as a group, organisation or for business purposes.

 

3. Refund Policy

- Payment for Subcription

You are to utilise only the payment methods available on Keyarb platforms to subscribe to our services.

Your account on Keyarb should NOT be used as a banking facility.

- Cancellation of Subcription

Everyone using the platforms of Keyarb is responsible for ensuring that any subscription made is in line with one's desire, consent and confirmation as subscriptions are non-refundable.

- Change of Payment Methods

Keyarb reserves the right to change the payment methods we accept from time to time. Furthermore, in our absolute discretion and without giving reason, we reserve the right to refuse to accept any type of payment method presented to us irrespective of whether we have previously accepted such payment method type from you or would usually accept that payment type from any User.

- Invalid Subcription

Keyarb does not acknowledge any subscription that is not listed in the users' account. Such subscription shall be considered invalid. Please, contact our Customer Service when in doubt of the validity of your subscription.

Errors and Omissions

Keyarb makes an effort to ensure there are no errors made in its systems utilised to make its platforms and/or the Services available for use. However, human and/or system’s error may occasionally result in errors.

Neither we (including our officers, employees or agents), nor our partners or suppliers, shall be liable for any loss that results from any Error or any mistake made by you in utilising the Services.

You shall inform us as soon as reasonably practicable should you become aware of any Error and stop immediately any further activity in relation to the Service(s) the Error applies to.

No Warranty

Keyarb provides no warranty that Keyarb platforms will constantly be available and functional at all times, seeing that all Keyarb platforms are driven by technology and there may be fluctuations, disruptions, inconsistencies and downtimes beyond our control.

We give no warranty to the accuracy of data obtained from Keyarb platforms or the results obtained through its use. The Information or Data is not intended to amount to financial advice or recommendations and is provided for information purposes only. It should not be relied upon when placing bets on betting or gambling platforms.

Using arbitrage predictions made available on Keyarb platforms as a guide to make financial decisions such as placing bets on betting or gambling website platforms are actions done exclusively at your own risk and discretion.

Additionally, Keyarb makes no warranties that its platforms and/or any of the Services will meet your requirements or will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that its platforms or the server that makes it available or the Services are free of viruses or bugs or represents the full functionality, accuracy, reliability of the materials or as to results or the accuracy of any information obtained by you through the platforms.

Limitations of Liability

You agree that your use of Keyarb platforms and any of the Services is at your sole risk.

Keryarb does not accept any liability for any damages, liabilities or losses of any kind, which are deemed or alleged to have arisen out of or in connection with its platforms, any of its content, the Account and/or any of the Services (including delays or interruptions in operation or transmission, communication or lines failure, any person’s misuse of the Website, the mobile application, the Account and/or the Services or any Error).

Keyarb shall not be liable to you in contract, tort (including negligence), breach of statutory duty or in any other way (arising directly or indirectly) for: loss of business, loss of profits, loss of revenue, loss of data, loss of opportunity, loss of good will or reputation or any special, indirect or consequential loss, arising out of, or in relation to your use of the Website, mobile application, the Services, any activity under the Account and these Terms of Use, even if such losses are foreseeable or if we have been notified by you of the possibility of such losses.

We are not liable for any loss of content or material uploaded or transmitted through the Website, mobile application, and/or the Account or otherwise transmitted to us. Keyarb will not be liable to you or any third party for any modification to, or suspension or discontinuance of the Services or any part or component thereof.

Keyarb reserves the right to cancel or suspend the Services without any liability whatsoever.

Furthermore, we shall not be liable for any loss or damage that you may suffer because of any act of God, Satan, government, power failure, trade or labour dispute, act, failure or obstruction of any telecommunication services or networks, or any other act, omission, delay or failure caused by a third party or otherwise outside of our control.

Intellectual Property Rights

By using our platforms, you acknowledge and agree that all intellectual property rights on Keyarb platforms, the Services and/or Information or Data shall remain at all times in Keyarb.

These rights include, without limitation, copyright, trade marks, logos, mascots, the underlying software, the design, graphics, layout, user interface and structure of our platforms and the Services, database rights, design rights, domain names and rights to goodwill and/or to sue for passing off. You are permitted to use this material and content only as expressly authorised by us and for the purposes set forth in the Terms of Use only. Our licensors reserve the right to enforce any of their intellectual property rights in any of the content, including, without limitation, Information or Data, and/or the Services, directly against you.

You agree not to (and agree not to assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit, tamper with or create derivative works of such material and content.

No Waivers

If Keyarb fails to insist upon strict performance of any of your obligations or if we fail to exercise any of the rights or remedies to which we are entitled, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.

Severability

If any provision of the Terms of Use is found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions of the Terms of Use which shall remain in full force and effect. In such instances, the part declared invalid or unenforceable shall be amended in a manner consistent with the applicable law to reflect, as closely as possible, Keyarb’s original intent.

 

4. Privacy Policy

This Privacy Policy describes your privacy rights regarding how and when we collect, use, store, share and protect your information across our website, APIs, applications, email notifications and tools regardless of how you use or access them.

In this policy these words: “we”, “us”, or “our”, refer to the data manager of your information which is Headway Integrated Services Enterprises (Keyarb).

We prioritise the safety of information obtained from you on our platforms. To make the most of Keyarb platforms, you will be required to go through registration process in which specific information will be collected.

You are responsible for information provided to us through your use of our platforms as covered in the Terms of Use.

By using Keyarb platform, you consent to the collection, transfer, storage, disclosure, and use of your information in Nigeria and beyond.

Collection of Personal Information

In the process of creating an account on our platform, we may collect personal information such as name, gender, date of birth, e-mail address, user name, , phone number,password, currency, a valid original copy of an official document bearing your names and photograph. We may also collect your bank account details in case there arises the need to make a refund for void subscriptions. For security reason, we also collect Internet Protocol (IP)address.

Use of Personal Information Collected

Personal information collected from you may be used to facilitate youir access to restricted areas of Keyarb's platforms, communicate with you, provide you with hourly or daily predictions updates, verify user's credibility and prevent fraud, render our services to you, improve on the quality of our services to you, enable third parties to carry out technical, logistical, or other functions on our behalf and make available relevant promotions/advertisements that might interest you.

We do not sell users' information or share same to unauthorised parties. Furthermore, Keyarb takes steps to ensure that personal information of users are not stolen as well as guard against illegal access to users' personal information. To this end, we provide firewall and data encryption service so as to protect confidentiality of personal information provided on our platforms.

Use of Cookies

We deploy cookies for the purpose of providing a better User Experience. Our cookies are usually placed in users' computers or mobile devices with the users' consent in order to provide seamless access to returning subscribers.
